Terms & Conditions

Effective Date: June 24, 2026

1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern access to and use of the Text.Cab platform and related services operated by Text Cab LLC (“Text.Cab,” “we,” “our,” or “us”).

By creating an account, booking transportation, submitting a booking request, adding a payment method, accessing platform services, communicating through platform systems, or otherwise using Text.Cab, you agree to be bound by these Terms and all applicable policies incorporated by reference.

If you do not agree to these Terms, you may not access or use the Platform.

2. Marketplace Role

Text.Cab operates exclusively as a transportation marketplace, dispatch technology platform, communication infrastructure provider, and payment facilitation system.

Text Cab LLC:

does not directly provide transportation services;

does not own transportation vehicles;

does not employ transportation drivers;

does not operate transportation fleets;

does not guarantee transportation availability;

does not guarantee driver availability;

does not guarantee assignment of any specific transportation provider.

Transportation services are independently performed by participating Fleets, Drivers, and Dispatchers.

Each assigned Fleet remains solely responsible for transportation services performed under its authority.

3. Definitions

Capitalized terms used in these Terms shall have the meanings assigned in the Text.Cab Definitions section and related legal documents.

Definitions include, without limitation:

  • Dispatcher
  • Driver
  • Fleet
  • Fleet Channel
  • Fleet Link
  • Guest
  • Marketplace
  • Referral Code
  • Reliability
  • Reservation Trip
  • Rider
  • Trip
  • User
  • Vehicle

4. Eligibility

Users creating accounts must be at least eighteen (18) years of age.

Minors may receive transportation services only when transportation is arranged by a responsible adult legally authorized to make such arrangements.

Participating Fleets may establish additional age-related transportation requirements where permitted by law.

Users represent and warrant that all information provided to Text.Cab is accurate, complete, and current.

5. Accounts

Users are responsible for:

maintaining accurate account information;

maintaining accurate contact information;

protecting account credentials;

restricting unauthorized access to accounts;

all activity occurring under their accounts.

Text.Cab may suspend, restrict, or terminate accounts that violate these Terms or applicable platform policies.

6. Geographic Scope

Text.Cab services may be offered within Massachusetts, Rhode Island, Connecticut, Maine, New Hampshire, Vermont, and additional jurisdictions that may be supported in the future.

Interstate transportation requests may be accepted only where the assigned Fleet is legally authorized to perform transportation services in applicable jurisdictions.

Text.Cab may modify supported service areas at any time.

7. Fleet Channels

Text.Cab may utilize Fleet Channels.

A Fleet Channel is a platform-controlled rider acquisition, attribution, and assignment-priority mechanism.

Fleet Channel types may include:

Fleet Links;

Referral Codes;

Custom Domain Redirects linked to Fleet Links.

Fleet Channel participation does not transfer:

customer ownership;

legal administration;

payment administration;

privacy administration;

dispute administration;

platform ownership.

Fleet Channels remain subject to Text.Cab platform rules and policies.

8. Customer Ownership

Riders, Guests, booking records, trip history, platform-generated demand, platform-generated communications, and marketplace relationships remain assets of the Text.Cab platform.

Use of Fleet Channels does not transfer ownership of Riders, Guests, or platform-generated marketplace relationships.

9. Booking Requests and Assignment

Submission of a booking request does not guarantee transportation availability.

A Trip becomes confirmed only after Assignment.

Before Assignment:

pricing may change;

availability may change;

requests may be modified;

requests may be declined;

requests may be cancelled.

Text.Cab reserves the right to decline, restrict, suspend, or cancel booking requests before Assignment.

10. Fleet Channel Assignment Priority

Where a Trip originates through a Fleet Channel, Text.Cab may provide an exclusive Assignment opportunity to the associated Fleet.

If the originating Fleet, Dispatcher, or Driver declines, ignores, cancels, or fails to accept the opportunity within applicable platform parameters, the Trip may be released to the broader Text.Cab Marketplace.

Fleet Channel priority does not guarantee Assignment.

11. Dynamic Service Availability

Availability, pricing, Vehicle categories, communication functionality, service areas, platform features, and service offerings may vary based upon:

location;

demand;

regulatory requirements;

Fleet participation;

operational conditions;

platform configuration;

technical availability.

Text.Cab makes no guarantee regarding availability of any specific transportation service.

12. Pricing Models

Text.Cab may support one or more pricing models.

For Trips originating through Fleet Channels, participating Fleets may establish pricing and fare rules. Riders may accept or decline presented pricing.

For Trips originating through Text.Cab marketplace channels, Text.Cab may calculate and display rider-facing pricing. Riders may accept or decline presented pricing. Participating Fleets may accept or decline Assignment opportunities.

Where enabled by Platform functionality, Riders may submit transportation offers within platform-defined minimum and maximum pricing parameters. Participating Fleets may accept or decline such offers.

Text.Cab may establish, modify, remove, or combine pricing models at any time.

13. Payment Authorization

By adding a payment method, submitting a booking request, or using Platform services, Users authorize Text.Cab and its payment processors to:

verify payment methods;

perform payment authorizations;

place temporary holds;

capture payments;

process adjustments;

process cancellation fees;

process damage-related charges;

process cleaning-related charges;

process lawful additional charges related to transportation services.

Users represent that they are authorized to use any payment method submitted to the Platform.

14. Payment Processing

Payments may be processed through third-party payment providers, including Stripe, Inc.

Text.Cab does not store complete payment card information directly.

Payment processing remains subject to the terms, conditions, policies, and operational requirements of applicable payment processors.

15. Wallet and Stored Payment Methods

Users may store payment methods within Platform Wallet functionality.

Stored payment methods may be used for:

Trip charges;

cancellation fees;

adjustments;

waiting time charges;

damage charges;

cleaning charges;

other authorized Platform transactions.

Users remain responsible for maintaining accurate and current payment information.

16. Trip Adjustments

Final Trip charges may differ from initially displayed estimates.

Adjustments may result from:

waiting time;

pickup changes;

destination changes;

additional stops;

service upgrades;

vehicle category changes;

hourly service extensions;

cleaning requirements;

damage recovery;

other authorized operational adjustments.

Applicable adjustments may be charged to the payment method associated with the booking.

17. Communication Services

Text.Cab may provide communication systems to facilitate transportation services.

Communication systems may include:

SMS;

masked text messaging;

masked calling;

email communications;

Telegram bots;

Discord bots;

future messaging integrations;

other communication technologies.

Communication systems are provided for transportation-related purposes only.

18. Messaging Consent

By creating an account, submitting a booking request, completing a booking, or otherwise providing a mobile telephone number to Text.Cab, Users consent to receive transactional and operational communications related to Platform services.

Such communications may include:

verification codes;

account authentication messages;

booking confirmations;

Driver Assignments;

Trip updates;

ride-related communications;

safety notifications;

support communications;

account-related notices.

Message frequency may vary.

Message and data rates may apply.

Users may reply STOP to opt out of non-essential messaging where applicable and HELP for assistance.

Consent to receive operational and transactional communications is not a condition of purchasing transportation services; however, certain Platform functionality may require the ability to receive essential operational communications.

19. Communication Windows

Platform communications remain subject to Communication Windows defined by Text.Cab policies and Definitions.

Communication access may be restricted, modified, suspended, or terminated by Text.Cab at any time.

20. Cancellation Rules

Cancellation eligibility, fees, and compensation may depend upon:

Trip type;

Assignment status;

cancellation timing;

waiting time;

operational circumstances;

no-show status.

Text.Cab maintains a separate Cancellation Policy, which is incorporated into these Terms by reference.

21. No-Show Events

Failure of a Rider, Guest, Driver, or Fleet to reasonably participate in a scheduled transportation service may constitute a no-show event.

No-show events may result in:

cancellation fees;

waiting time charges;

partial Trip charges;

full Trip charges where permitted by applicable policies.

Airport pickups shall be evaluated under the same operational standards as other transportation services.

Riders requesting airport pickup services are responsible for providing accurate flight information when flight tracking or airport monitoring services are requested.

22. Refund Reviews and Fare Reviews

Refund requests, fare reviews, billing disputes, and cancellation-related reviews must be submitted within seventy-two (72) hours after Trip completion or cancellation.

Text.Cab and participating Fleets may review and resolve requests within seven (7) business days.

Complex cases may require additional time.

Text.Cab may request supporting information, documentation, communications, photographs, receipts, or other relevant materials during review.

Refund decisions remain subject to applicable policies and operational findings.

23. User Conduct

Users shall use the Platform lawfully, responsibly, and in accordance with these Terms and applicable policies.

Users shall not:

provide false, misleading, stolen, or unauthorized information;

use unauthorized payment methods;

create duplicate accounts;

manipulate platform systems;

engage in fraudulent activity;

engage in harassment, discrimination, threats, or abuse;

misuse communication systems;

attempt to circumvent Platform rules;

interfere with transportation services;

engage in unlawful conduct.

Text.Cab may investigate suspected violations and take appropriate action.

24. Ratings, Reviews, and Reliability

Text.Cab may maintain:

ratings;

reviews;

reliability indicators;

rankings;

badges;

performance indicators;

marketplace reputation systems.

Reliability is a platform-generated operational performance indicator that may consider:

responsiveness;

participation;

fulfillment activity;

cancellations;

operational engagement;

marketplace activity;

other platform-determined factors.

Ratings, reviews, reliability indicators, badges, and related metrics may be modified, reviewed, adjusted, removed, restored, or recalculated by Text.Cab.

Text.Cab does not guarantee accuracy of user-generated reviews or ratings.

25. Child Safety Requirements

Users remain responsible for compliance with applicable child transportation safety requirements.

Where a child restraint device is required by law:

Riders must select the child-seat option during booking; or

Riders must provide legally compliant child restraint equipment.

Assigned Fleets and Drivers may refuse transportation services where applicable child safety requirements are not satisfied.

26. Vehicle Conduct

Smoking is prohibited inside participating Fleet vehicles.

Users shall behave in a respectful and lawful manner while utilizing transportation services.

Assigned Drivers and Fleets may terminate transportation services when safety, legality, or operational concerns exist.

27. Damages and Cleaning Charges

Users remain financially responsible for damage caused to vehicles, equipment, or property during transportation services.

Where damage, excessive cleaning, contamination, vandalism, or similar conditions occur, Text.Cab and participating Fleets may:

investigate incidents;

review supporting documentation;

estimate repair or cleaning costs;

recover reasonable costs associated with repair, cleaning, restoration, administration, and related services.

Authorized charges may be applied to the payment method associated with the booking.

If payment processing fails, Users shall remain responsible for satisfying outstanding obligations.

28. Lost Property

Lost property remains the responsibility of the Rider and assigned Fleet.

Text.Cab may facilitate communication, recovery coordination, reimbursement processes, or compensation programs relating to lost property.

Text.Cab does not guarantee recovery of lost property.

After expiration of applicable Communication Windows, Riders and assigned Fleets may communicate directly regarding lost-property recovery, shipping, delivery, reimbursement, or related arrangements.

Reasonable recovery, handling, storage, delivery, or shipping fees may apply where lawful.

29. Account Suspension and Restriction

Text.Cab may suspend, restrict, hold, or terminate access to the Platform for reasons including:

fraud;

chargeback abuse;

identity misrepresentation;

duplicate accounts;

harassment;

abuse;

policy violations;

safety concerns;

excessive cancellation activity;

manipulation of platform systems;

GPS spoofing;

other conduct inconsistent with Platform integrity.

Suspension may include:

account restrictions;

Wallet restrictions;

communication restrictions;

booking restrictions;

permanent account termination.

30. Accessibility and Service Animals

Text.Cab supports compliance with applicable accessibility, disability accommodation, and service animal requirements.

Participating Fleets and Drivers remain independently responsible for complying with applicable laws governing transportation services.

31. Limitation of Liability

To the maximum extent permitted by law, Text Cab LLC’s total liability arising from or relating to Platform services, bookings, communications, payments, Assignments, cancellations, or transportation services shall not exceed the amount actually paid by the User for the disputed booking.

Text Cab LLC shall not be liable for:

driver conduct;

fleet conduct;

dispatcher conduct;

accidents;

injuries;

delays;

missed flights;

missed appointments;

traffic conditions;

weather-related disruptions;

vehicle condition;

transportation service quality;

actions of independent transportation providers.

This limitation applies regardless of the theory of liability and whether claims arise in contract, tort, negligence, statute, or otherwise.

32. Indemnification

Users agree to defend, indemnify, and hold harmless Text Cab LLC and its officers, managers, members, employees, contractors, affiliates, successors, and assigns from claims, liabilities, losses, damages, costs, expenses, and reasonable attorneys’ fees arising from:

violation of these Terms;

unlawful conduct;

misuse of Platform services;

damage caused by Users or Guests;

violation of rights of third parties.

33. Force Majeure

Text.Cab shall not be responsible for delays, interruptions, failures, or inability to perform caused by events beyond reasonable control, including:

weather;

natural disasters;

governmental action;

airport restrictions;

emergencies;

labor disruptions;

telecommunications failures;

technology failures;

utility interruptions;

public safety events.

34. Arbitration and Dispute Resolution

Any dispute arising from or relating to the Platform, transportation services, bookings, payments, communications, or these Terms shall be resolved through binding arbitration.

Arbitration shall be governed by the laws of the Commonwealth of Massachusetts.

Arbitration shall be conducted on an individual basis.

To the maximum extent permitted by law, Users waive participation in:

class actions;

class arbitrations;

representative proceedings;

collective actions.

Nothing in this section prevents either party from seeking temporary injunctive relief where legally permitted.

35. Policy Updates

Text.Cab may update these Terms and related policies from time to time.

Updated versions shall become effective upon publication unless otherwise stated.

Continued use of the Platform following publication constitutes acceptance of revised Terms.

37. Entire Agreement

These Terms, together with incorporated policies and applicable Platform documents, constitute the entire agreement between User and Text.Cab concerning Platform use and supersede prior understandings relating to such subject matter.
